SUBJECT: Nominating Committee – Reappointments for 2016-2018 Term

RECOMMENDATION:
That Clause 2 [eligibility requirement to either reside, work or own property in the
City of Kitchener] of Policy I-63 (Appointment to Boards and Committees) be
suspended only for appointment to the Nominating Committee; and further,
That representatives from the K-W Community Foundation (Director of
Community Investments), K-W Multicultural Centre (Executive Director), and K-W
United Way (Chief Executive Officer), Capacity Waterloo Region (Executive
Director), and Greater K-W Chamber of Commerce (President/Chief Executive
Officer) or designates, be re-appointed to the Nominating Committee for a two-
year term from May 2016 to May 2018.
BACKGROUND:
The Nominating Committee’s mandate is to assess applicants for the City’s various
Advisory Committees of Council and to present Council with a list of suggested
candidates for each committee. When assessing applicants, the Committee considers
the Terms of Reference for each Advisory Committee as well as the following to
determine the best fit for applicants:

1) The applicant’s 1 choice of committee, wherever possible;
2) Applicant’s expertise and interest as outlined in the application;
3) A mix of returning members and new members to support succession planning
and continuity within the Committee; and,
4) The application of a “diversity lens” to increase diversity on each committee to
more accurately reflect the makeup of the community.

In April 2014,Council passed a resolution appointing five (5) members, or their
designate, to the Nominating Committee for a two-year term as follows:
K-W Community Foundation (KWCF) – Director of Philanthropic Services;
K-W Multicultural Centre (KWMC) – Executive Director;
K-W United Way (KWUW) – Chief Executive Officer;
Capacity Waterloo Region (CWR) – Executive Director; and,
Greater K-W Chamber of Commerce (GKWCC) – President/Chief Executive

The intention was to have the head of each the above-noted organizations serve as it
was thought that such individuals would have experience with governance and
recruiting, and would have a broad community perspective which would aid in selecting
members for the Advisory Committees. In the case of KWCF, they chose to appoint a
designate, their Director of Philanthropic Services.
The Terms of Reference for the Nominating Committee was not revised in 2014 but
staff was directed to report back in advance of the next term of the Nominating
Committee to advise of the success of the above approach in order for Council to make
a decision regarding the next appointment cycle for the Nominating Committee. The
current term of the Nominating Committee expires in May, 2016.
REPORT:
The approach approved by Council in April, 2014 has proven to be very successful.
The Nominating Committee members appointed from the community groups/agencies
named above have made an extremely valuable contribution to the appointment
process for the City’s Advisory Committees. The members have carefully and
thoughtfully reviewed applications consistently keeping in mind the criteria for selection
in suggesting slates of candidates for Council’s consideration; and as a result, the City’s
Advisory Committees have diverse and knowledgeable citizen representatives.
With the exception of the KWCF, all the present members of the Nominating Committee
have expressed interest in continuing for another 2-year term. KWCF wishes to have a
representative from their organization serve on the Nominating Committee but has
requested to replace the position of Director of Philanthropic Services with their Director
of Community Investments as KWCF believes the latter position has excellent out-reach
within the community which would better serve the Nominating Committee’s needs.
Given the difficulty in finding members for the Nominating Committee in the past and
given the success of the current approach, staff recommends continuing with the
composition of the Nominating Committee as recommended above for the 2016-2018
term. Staff also recommends taking no action to amend the Committee’s current Terms
of Reference with respect to its composition and to continue with the suspension of
Clause 2 of Policy I-63 to allow for the participation of KWUW and CWR whose offices
are not located in Kitchener and whose representatives might not reside or own
property in Kitchener.

Staff will continue to monitor the success of this approach and report back to Council in
advance of the 2018-2020 term of the Nominating Committee for recommendations
regarding approaching these and other similar community-based groups for future
appointment cycles. If, at that time, Council feels the Terms of Reference for the
Nominating Committee should be amended and Clause 2 of Policy I-63 permanently
suspended, staff will undertake to make the necessary revisions.
ALIGNMENT WITH CITY OF KITCHENER STRATEGIC PLAN:
The recommendation of this report supports the achievement of the city’s strategic
vision through the delivery of core service.
FINANCIAL IMPLICATIONS:
None.
COMMUNITY ENGAGEMENT:
INFORM – This report has been posted to the City’s website with the agenda in
advance of the council / committee meeting.
COLLABORATE – The Nominating Committee is comprised of citizens who provide
direct advice and recommendations regarding the composition of the City’s advisory
committees. The members of the various advisory committees also provide advice and
recommendations to Council and, in this way, partner with the City in the decision-
making process.
