AUGUST 10, 2020 CITY OF KITCHENER
A special electronic meeting of City Council was held in the Council Chamber at 12:39 p.m. this date,
chaired by Mayor B. Vrbanovic with all members present.
Notice of this meeting had been previously given to all members of Council by the City Clerk pursuant
to Chapter 25 (Council Procedure) of the Municipal Code.
Mayor B. Vrbanovic began the meeting with a statement acknowledging the land as the traditional
territory of the Neutral, Anishinaabe and Haudenosaunee Peoples.
WAIVE NOTICE OF MOTION
Council was requested to waive notice to add another matter to the in -camera session related to
information explicitly supplied in confidence to the municipality or local board by Canada, a province or
territory or a Crown agency of any of them (Section 239(2) (H)).
Moved by Councillor M. Johnston
Seconded by Councillor D. Schnider
"That pursuant to Section 25.4.4 (f) of Chapter 25 (Council Procedure) of the Municipal Code, the
requirement for Notice of Motion be waived to add the following matter to the in -camera meeting
this date with respect to Information explicitly supplied in confidence to the municipality or local
board by Canada, a province or territory or a Crown agency of any of them as authorized by Section
238(2) (H) of the Municipal Act, 2001."
Carried by the required 2/3 of the Whole of Council.
IN -CAMERA MEETING AUTHORIZATION
Moved by Councillor B. loannidis
Seconded by Councillor K. Galloway-Sealock
"That an in -camera meeting of City Council be held to consider a matter regarding confidential
information about a competitive position/contract/negotiation including plans and instructions for
negotiations, two land acquisition/disposition matters, one labour relations matter, as well as, the
additional item added to the in -camera session this date related to Information explicitly supplied in
confidence to the municipality or local board by Canada, a province or territory or a Crown agency
of any of them as authorized by Sections 238(2) (i), (k) ( c), (d), and (h) of the Municipal Act, 2001,
respectively."
Carried.
The meeting then recessed at 12:44 p.m. and reconvened at 4:08 p.m. Chaired by Mayor B. Vrbanovic
with all members present.
COR -20-006 - AMENDMENT TO PROCEDURAL BY-LAW REGARDING ELECTRONIC
MEETING PARTICIPATION
Council considered Corporate Services Department report COR -20-006 (J. Bunn), dated August 27,
2020, recommending an amendment to the Procedural By-law (Municipal Code Chapter 25) to permit
electronic meeting participation in open and closed meetings, and to allow members participating
electronically to count towards quorum.

Seconded by Councillor M. Johnston
"That, until such a time the Comprehensive Procedural By-law Review has been completed and
presented for Council's consideration, the Procedural By-law (Municipal Code Chapter 25) be
temporarily amended in accordance with section 238 of the Municipal Act, 2001, (as amended
by the COVID-19 Economic Recovery Act, 2020), as outlined in Corporate Services Department
report COR -20-006, to permit electronic meeting participation in open and closed meetings, and
to allow members participating electronically to count towards quorum."

FIN -20-050 - P20-092 DIRECT PURCHASE OF NATURAL GAS ADMINISTRATION AND
CONSULTING
Council considered Financial Services Department report FIN -20-050, (R. Scott), dated July 13, 2020,
recommending Proposal P20-092 Direct Purchase of Natural Gas Administration and Consulting, be
awarded to ECNG Energy Group. Mr. G. St. Louis, Director, Utilities, was in attendance and responded
to questions from Council.

Seconded by Councillor K. Galloway-Sealock
"That Proposal P20-092 Direct Purchase of Natural Gas Administration and Consulting, be
awarded to ECNG Energy Group, Burlington, Ontario, at their estimated fee of $91,000, plus
H.S.T. of $11,830, for a total of $102,830, for a one (1) year term with the option to renew for an
additional four (4) one year terms, provided a satisfactory contract is executed, as outlined in
Financial Services Department report FIN -20-050."

Council considered Infrastructure Services Department report INS -20-007, (R. Lusk and N. Lobley),
dated July 8, 2020, recommending authorization of a one-year extension for providing summer and
winter maintenance services on selected Regional Roads within the City of Kitchener. Ms. R. Lusk,
Director, Operations, was in attendance and responded to questions from Council.

Seconded by Councillor S. Davey
"That the Mayor and Clerk be authorized to execute a one-year extension, subject to the
satisfaction of the City Solicitor, with the Regional Municipality of Waterloo, for the City of
Kitchener to provide summer and winter maintenance services on selected Regional Roads
within the City of Kitchener, as outlined in the Infrastructure Services Department report INS -20-
007."

6. 1011 HOMER WATSON- RIGHT OF FIRST REFUSAL AGREEMENT - BLOCK 1, 58M656,
CITY OF KITCHENER (LAND ACQUISITION/DISPOSITION MATTERS — SECTION 238 (2) (c))
Council considered a matter arising from an electronic in -camera meeting held earlier this date.
Moved by Councillor J. Gazzola
Seconded by Councillor C. Michaud
"That the Corporation of the City of Kitchener elects not to exercise its Right of First Refusal as
set out in the Right of First Refusal Agreement, registered on title as Instrument No. 1267588,
to acquire the Property owned by 1869071 Ontario Limited, described as Block 1, 58M656, in the
City of Kitchener and consents to the removal of said Instrument from title at such time as the
transaction which triggered this request is completed and verified by the City Solicitor; and further
That the Mayor and Clerk be authorized to execute the necessary documentation to release the
First Right of Refusal Agreement registered as Instrument No. 1267588, said documentation to
be satisfactory to the City Solicitor."

"That leave be given the Mover and Seconder to introduce the following by-laws for three
readings and that the same be taken as read a first, second and third time, and finally be passed
and numbered serially by the Clerk."
a. Being a by-law to amend Chapter 25 of the City of Kitchener Municipal Code
with respect to Procedure.

b. Being a by-law to amend Chapter 110 of the City of Kitchener Municipal Code
regarding By-law Enforcement.
(By-law No. 2020-039)
G. Being a by-law to name private roads as Pony Way, Roper Place and Shedrow
Place, in the City of Kitchener.
