EDAC - TERMS OF REFERENCE
RECOMMENDATION:
That the Terms of Reference for the Economic Development Advisory Committee, dated April
2005, attached to Corporate Services Department report CRPS-05-054 (March 30, 2005), be
adopted.
BACKGROUND:
The Terms of Reference for the Economic Development Advisory Committee (EDAC), have not
been updated since 2002 although all other Advisory Committees have undergone the exercise.
Attached to this report are the proposed Terms for the Committee which have been endorsed by
the Committee Chair.
REPORT:
The attached Terms of Reference reflect the standard format for Terms of all Advisory
Committees of Council as per direction given by Council in 2001 and outlined in report CRPS-
02-095, dated May 1, 2002. All the Committee Terms were revised in 2002 in accordance with
Council direction, and all with the exception of EDAC, were further revised in 2004. EDAC has
now proposed a revised Terms of Reference with the following changes:
· the committee will advise the economic development division, in addition to council;
· three new members representing the education, arts & culture and health care sectors;
· ability to recommend the removal of a committee member should they fail to attend
more than three meetings in a year;
· reporting through the finance & corporate services committee rather than development &
technical services committee;
· additional responsibilities to include:
o vetting new policies and specific studies, reports or publications;
o assisting the economic development division in developing its annual work
program;
playa key role in the development of partnerships;
to propose programs relating to economic development.
For the most part, the remainder of the current Terms are unchanged except for purposes of
standardisation and in compliance with Council policy.

- TERMS OF REFERENCE
Purnose and Scone
The primary purpose of the Economic Development Advisory Committee is to advise Council and
the Economic Development Division of the City of Kitchener in the development and on-going
implementation of economic development strategies and initiatives.
Committee Comnosition and Renortinl!
Two (2) Members of City Council
One (1) Member of the Community at Large
One (1) Representative from each of the Following Business Sectors:
High Tech Manufacturing
Marketing Financial (Banking)
Downtown Retail Business Downtown Office Owner
Consultant Industry Hospitality/Convention/Tourism Industry
Major Retail (Outside of Downtown) Education
Housing Development Arts & Culture
Labour Council Health Care
Members will be appointed for a term of three years to run concurrent with the term of Council. The
Committee shall, from amongst its members, choose a Committee Co-Chair annually who is not a
member of Council, to co-chair the committee with the appointed Council Co-Chair.
Meetings will be held monthly or at the call of the Chair and minutes will be kept by the committee
secretary who will distribute the minutes to all of Council and the Corporate Management Team.
All meetings shall be conducted in accordance with Council's Procedural By-law and as such, a
quorum is defined as nine (9) voting members of the Committee.
In accordance with the Procedural By-law and upon recommendations to Council from the
Committee any member of the Committee who fails to attend three successive regular meetings
without being authorized, may be removed from the committee. Notwithstanding the foregoing, the
Committee may at any time recommend to Council that a member of the Committee be removed
when that member has failed to attend more than three regular meetings without authorization.
The Committee shall report through the Finance & Corporate Services Committee unless the
Council Co-Chair deems it expedient that a report be made directly to Council.
Should the Committee feel a sub-committee is required to deal with specific issues, such sub-
committee shall be ad hoc in nature, with specific, clearly articulated mandate. All sub-committees
shall be reviewed annually to determine whether they need to continue. Membership on sub-
committees may be expanded to include people who are not advisory committee members, to take
advantage of individual expertise.
Resnonsibilities
1. To advise Council and staff in the development and implementation of an economic
development strategic plan, including both long-term and short-term objectives.
2. To identify emerging economic conditions/new trends/niche markets that will assist in
shaping the strategic plan for Economic Development.
3. To vet new policy matters and specific studies, reports or publications.
4. To assist in issue resolution impacting economic development.
5. To advocate for innovation.
6. To assist with the development or revision of business processes related to Economic
Development Initiatives.
7. To recommend changes to the City's policies and procedures to advance the economic
development climate.
8. To partner with City staff in hosting incoming missions/dignitaries, visitation programs and
other initiatives which contribute to economic wealth of the community. EDAC members
are emissaries/ambassadors of the business community and of the City of Kitchener.
9. To assist in the development, review and monitoring of the City's initiatives/policies for
adaptive reuse of existing infrastructure, existing buildings and employment lands.
10. To assist the Economic Development Division in the development of its annual work program
to ensure alignment with the Economic Development Strategic Plan.
11. To advise the Economic Development Division about its marketing plan and initiatives (i.e.
trade shows, web page, newsletters, events, market research information, publications and
best practices from across North America, etc.).
12. To playa key role in the development of partnerships such as Canada's Technology Triangle,
Communitech, Greater Kitchener-Waterloo Chamber of Commerce, Business Enterprise
Centre, other municipalities, and the Province to advance the City's economic strategy.
13. To propose programs for the enhancement of the image of the community and the
development of other amenities and services related to economic development.
