McCrea Assistant City Solicitor Victoria Park Ward 6 September 12, 2005 CRPS-05-136 RECOMMENDATION: Sub-License of Victoria Park School to University of Waterloo That the City of Kitchener enter into a Sub-License Agreement with University of Waterloo to license the former Victoria Park Community Centre premises located at 25 Joseph Street, Kitchener, owned by Kitchener Housing Inc., for a term of 30 years (including renewals) for a license fee of $1.00 per annum plus utilities and taxes and on such other terms and conditions as are satisfactory to the City Solicitor; and That the City of Kitchener consent to the further Sub-License of the former Victoria Park Community Centre by University of Waterloo to the physicianss practicing in association as The Centre for Family Medicine Teaching and Research on terms and conditions satisfactory to the City Solicitor; and That the Mayor and Clerk be authorized to execute the Sub-License to the University of Waterloo and the Sub-License to the Centre for Family Medicine, and such other documentation as may be necessary and approved by the City Solicitor. REPORT: As part of the University of Waterloo's plan to establish a Health Sciences Campus in downtown Kitchener the University has attracted a group of physicians with an affiliation to the University of Western Ontario and McMaster University who will practice as The Centre for Family Medicine Teaching and Research and provide appropriate training to family physicians within the community. The Victoria Park Community Centre moved to the Downtown Community Centre in or about July, 2005 leaving the space vacant. The proposal is for the City to license the use of this space to the University of Waterloo who proposes to further-sublicense most of the space to the physicians of The Centre for Family Medicine Teaching and Research with any remaining space to be used by the University in connection with the Health Sciences Campus. The license fee to be charged to the University is the same as paid by the City to Kitchener Housing Inc. and the University or its sub-licensee is responsible to pay all utilities, taxes, and a capital contribution to Kitchener Housing Inc. The University will be charging a license fee to the Centre sufficient to cover the costs of leasehold improvements and utilities being a cost recovery basis. The Sub-License Agreements have been negotiated by staff of the City, the University of Waterloo, Kitchener Housing Inc. and a representative of the physicians and all are in agreement on their terms and conditions. FINANCIAL IMPLICATIONS: The Sub-License to the University of Waterloo is at the same license fee as the City pays to Kitchener Housing Inc. The University of Waterloo, or its sub-licensee, will be responsible for the costs of all utilities, taxes and all leasehold improvements. In addition, Kitchener Housing Inc. is responsible for a small leasehold improvement to provide separation between the common room used by residents and the area to be licensed. The cost of these improvements is approximately $6,000.00 and the City has agreed to pay these costs for Kitchener Housing Inc. Fiona M. McCrea Assistant City Solicitor c.c.
