Acknowledgement of the University of Waterloo's Faculty of
Arts Partnership Arrangement with the Waterloo Regional
Children's Museum
RECOMMENDATION:
The City hereby acknowledges that the partnership arrangement proposed between the
University of Waterloo's Faculty of Arts and the Waterloo Regional Children's Museum
("Children's Museum") is an appropriate ancillary use to that of the Children's Museum as
contemplated in the Children's Museum Lease with the City; said acknowledgement subject to
the terms and conditions set out in Report CRPS-07 -096.

BACKGROUND:
There is a provision in the Lease between the Children's Museum and the City of Kitchener
which permits the Children's Museum to use the premises located at 10-22 King Street W., only
as a Children Museum and any ancillary use thereto and for no other purpose whatsoever, with
the right of approval being granted to the City of Kitchener. Staff has been approached by the
Children's Museum seeking the City's approval of a partnership arrangement between the
University of Waterloo's Faculty of Arts and the Children's Museum on the basis that it is an
ancillary use to the Children's Museum. The City's acknowledgement of such use shall not be
unreasonably withheld.

In keeping with the Children's Museum's desire to offer motivating programs and exhibits to the
community, the Children's Museum has entered into partnership discussions with the University
of Waterloo's Faculty of Arts regarding the Faculty of Arts Canadian Centre for Arts and
Technology (CCAT) for the purpose of locating classrooms, labs and studios in the Children's
Museum facility as well as to share other resources including equipment and personnel for the
purposes of working on a variety of digital based projects of mutual benefits and interest in an
effort to expand into the larger community to involve youth in the design, production and
enjoyment of new media.
The Children's Museum proposes that they will enter into a long term agreement with the
University of waterloo's Faculty of Arts for which there will be no monetary consideration, but
rather the benefits gained by each party. The Children's Museum expects to benefit in a
number of ways including leading edge technology exhibits, access to in-house media experts
and IT services, the ability to develop advanced technology based curriculum programs,
revenue generated through the development of software and third party rentals, the provision of
experienced advanced technology to local children and exposure to the University community.
The University's Faculty of Arts will be contributing various staff technicians and co-op student
positions as well as video, video-conferencing equipment and the establishment of multi-media
classrooms with advanced hardware and software capabilities.
Staff supports the acknowledgement of this partnership as an appropriate ancillary use to the
Children's Museum, provided the Acknowledgement is based on the following terms and
conditions:
1. The Children's Museum arrangement with the University of Waterloo's Faculty of Art
acknowledges that their arrangement will cease immediately upon the earlier of their
partnership arrangement coming to an end or the termination of the Children's
Museum's tenancy within the City;
2. The City is not responsible for any costs of any leasehold improvements or
modifications which may be required to accommodate the University of Waterloo's
Faculty of Arts on the Children's Museum premises, The construction of any
leasehold improvements or modifications and the operation of any technical
equipment and classroom premises shall be in compliance with all federal, provincial
and municipal requirements; and
3. That the City's Director of Facilities Management approve any modifications that may
be required and the Children's Museum arrangement with the University should also
include the obligation that the University provides adequate insurance coverage for
the protection of their equipment and resources in the Children's Museum premises.

CONCLUSION:
Staff sees this partnership as being compatible and beneficial to the Children's Museum's
operation and accordingly supports Council's acknowledgement of said partnership.
