Subject: Legal Agreements for the Corporate Financial and Infrastructure
Management System (Delta Project)
RECOMMENDATION:
THAT the Mayor and Clerk be authorized to execute the legal agreements with IDS
Scheer Canada, SAP Canada Inc, ESRI Canada Inc. and Loki Innovations (RIVA) for the
Corporate Financial and Infrastructure Management System project.
BACKGROUND:
On August 13, 2007, Council passed the following resolution relative to this project:
"That Request for Proposal P07-025, Corporate Financial and Infrastructure
Management System (Delta Project), be awarded to IDS Scheer Canada, SAP
Canada Inc, ESRI Canada Inc. and Loki Innovations (RIVA), subject to the
successful negotiation of the agreement(s), satisfactory to the City Solicitor; and
further,
That the agreement(s) be forwarded to Council for approval prior to execution of the
document(s)."
REPORT:
In response to the Council direction as outlined above, Staff and outside legal counsel
from Blake Cassels and Graydon have completed negotiations for the above agreements
with the vendors.
In addition, as risk assessor for this project, KPMG has made a series of
recommendations to the City contract negotiating team for improvements/changes to
these contracts to mitigate areas of risk identified. All of those recommendations were
taken into account during the negotiation process to the extent possible. Also, Project
Steering Committee members and Project Task Force staff have been closely involved in
the detailed review of the agreements to ensure that the City's system
specifications/requirements have been thoroughly addressed.
FINANCIAL IMPLICATIONS:
None related to this report recommendation. The Delta Project has been budgeted at an
overall estimated cost of $7.076 million, which has been included and approved in the
capital forecast.
COMMUNICATION:
An internal communications plan for the project has been completed and ready to be rolled
out to staff.
