NOVEMBER 5, 2007 CITY OF KITCHENER
A special meeting of City Council was held at 12:54 p.m. this date, chaired by Mayor C. Zehr and with
all members present except Councillors B. Vrbanovic and G. Lorentz.
Notice of this special meeting had been previously given to all members of Council by the City Clerk
pursuant to Chapter 25 (Council Procedure) of the Municipal Code.
Council was advised of an additional item for in-camera discussion this date involving a matter
subject to solicitor-client privilege.
Moved by Councillor C. Weylie
Seconded by Councillor K. Galloway
"That an in-camera meeting of City Council be held this date to consider alitigation /potential
litigation matter which is also subject to solicitor-client privilege and two matters subject to
solicitor-client privilege."
Carried.
The meeting then recessed at 12:56 p.m. and re-convened at 5:06 p.m., chaired by Mayor C. Zehr
and with all members present except Councillors B. Vrbanovic and G. Lorentz.
Council considered Financial Services Department report FIN-07-132, dated October 31, 2007,
relative to necessary agreements for the Corporate Financial & Infrastructure Management System.
Moved by Councillor C. Weylie
Seconded by Councillor J. Smola
"That the Mayor and Clerk be authorized to execute the legal agreements with IDS Scheer
Canada, SAP Canada Inc., ESRI Canada Inc. and Loki Innovations (RIVA) for the Corporate
Financial and Infrastructure Management System project."
Councillor J. Gazzola advised that he would not be supporting the recommendation not because he
does not agree with the purchase and implementation of the proposed systems but, considering the
complexity of the agreements he feels more time is required before a decision is made. Councillor
Gazzola added that in addition two Councillors are not in attendance and considering the large costs
associated with this project delaying this decision until the November 13, 2007 Council meeting would
be prudent. He noted that although Council during the in-camera session this date did receive advice
on the agreements from outside counsel, there were a number of issues raised which may require
further consideration by members of Council.
Mayor C. Zehr advised that Council did receive information on the agreements including the fact that
the agreements have been scrutinized by various parties including staff, outside counsel and the
City's auditor. Mayor Zehr added that on the issue of delaying the decision on this matter there are
certain targets that must be met as part of the agreements and eight days will have an effect. He
noted that the agreements do contain failsafe clauses should the City decide not to proceed with the
project. Councillor J. Smola asked how many staff have been involved and how long has it taken to
develop the agreements. Ms. P. Houston, General Manager of Financial Services, advised that a
large number of staff have been involved over the past year developing the business case, the
Request for Proposal and the legal agreements. She further advised delaying the decision will have
an effect on the critical `blueprint' milestone which must be completed by the end of December 2007.
Councillor J. Gazzola requested a recorded vote.

"That leave be given the Mover and Seconder to introduce a by-law to confirm all actions and
proceedings of the Council and that the same be taken as read a first, second and third times, be
finally passed and numbered 2007-200 by the Clerk."
Carried.
On motion, the meeting adjourned at 5:15 p.m.
