BACKGROUND: At the November 26, 2007 Council meeting, Councillor J. Gazzola requested that in regard to the appointments of members of Council to various boards and committees staff develop a policy to improve the transparency of the appointment process. In particular, Councillor Gazzola referred to the appointments made to the Kitchener Power Corporation. REPORT: In regard to the transparency of the appointment process, these appointments are made during special meetings of Council which are public meetings and agendas are posted for the public and circulated to the media. All decisions of Council are voted on and reflected in the minutes. With respect to appointments to the Kitchener Power Corporation, there is Council Policy I-115, Appointments to Kitchener Power Corporation Board of Directors (attached} which provides a general outline on the appointments. This policy was established in 2002 when it was decided by Council to appoint two members of Council to the Board of Directors along with the Mayor and two citizens. The following are the appointments that have been made under this policy: 2003 J. Smola 2004 J. Smola/G. Lorentz 2005 G. Lorentz/C. Weylie 2006 C. Weylie/B. Vrbanovic 2007 B. Vrbanovic/G. Lorentz 2008 G. Lorentz/C. Weylie The 2010 municipal elections will see an increase of at least four Councillors as per the decision of this Council made in 2007 and could see additional Councillors as a result of the current ward boundary review. Knowing that an increase will happen it has been staff's intention to bring the matter of changes to the Procedural By-law and other things such as appointment of Councillors to boards/committees including Standing Committees, to the attention of Council in 2009. Changes made will assist greatly in ensuring that the larger Council will run efficiently and effectively. In light of this proposed review it is being suggested that any development of policy or amendment to existing policy with respect to the appointments of the members of Council wait until the 2009 review has taken place. Gosse - Director of Legislated Services COUNCIL POLICY RESOLUTION POLICY NUMBER: I-115 DATE: SEPTEMBER 30, 2002 POLICY TYPE: BOARD & COMMITTEE SUBJECT: APPOINTMENTS -BOARD OF DIRECTORS - KITCHENER POWER CORPORATION POLICY CONTENTS: Purpose and Scope Appointments to the Board of Directors of the Kitchener Power Corporation shall be made in accordance the Shareholder's Agreement dated August 1, 2000. The City of Kitchener's appointments shall be made in accordance with this policy. The City of Kitchener shall appoint annually, five members to the Board of Directors, one of which shall be the Mayor and two shall be members of City Council. Two appointments shall be members of the public who will be nominated by the Kitchener Power Corporation, in accordance with its By-laws, for Council's consideration during the annual appointments to Boards and Committees. Each year at least one City appointed member of the Board of Directors will be replaced, preferably the longest sitting Director. Council will endeavour, if possible, not to replace more than one Director in a year. The Mayor, by virtue of the Shareholder's Agreement, is exempt from this clause. 2. Transition To ensure a smooth transition and minimise changes on the Board of Directors; for the 2003 appointments, one Councillor shall be appointed as part of the five City appointments, replacing one of the current Directors. For the 2004 appointments, a second Councillor will be appointed as part of the five City appointments, replacing one of the current Directors who is not the Mayor or a Councillor.
