DECEMBER $, 200$ CITY OF KITCHENER
A special meeting of City Council was held at 12:31 p.m. this date, chaired by Mayor C. Zehr with all
members present except Councillor J. Gazzola.
Notice of this meeting had been previously given to all members of Council by the City Clerk pursuant
to Chapter 25 (Council Procedure) of the Municipal Code.
Moved by Councillor C. Weylie
Seconded by Councillor J. Smola
"That an in-camera meeting of City Council be held immediately following this special meeting to
consider a labour relations matter and two land acquisition /disposition matters which are also
subject to solicitor-client privilege."
Carried.
The meeting then recessed at 12:32 p.m. and re-convened at 4:05 p.m., chaired by Mayor C. Zehr with
all members present.
The purpose of the meeting was to consider appointments to Advisory Committees and various Boards.
Council considered Corporate Services Department report CRPS-08-191, dated November 27, 2008, an
information report from the City's Nominating Committee. Mr. R. Gosse, City Clerk, advised that the
newly formed Nominating Committee met several times during October and November to review the
applications, identified those applicants that did not meet the criteria for appointments and drafted a list
of appointees for each of the Advisory Committees to assist Council in making their appointments. He
further advised that in establishing the suggested list of appointees, the Committee as best as they could
,applied a diversity lens to ensure that each Committee reflected the makeup of the community.
The appointments as approved are attached to and form part of these minutes.
Council was in receipt of correspondence from Mr. Jamie Grant, General Manager, Centre in the
Square, dated November 18, 2008, requesting that Council consider the appointment recommendations
of the Human Resources Committee.

"That Mary Bales be appointed to the Centre in the Square Board of Directors for a term ending
December 31, 2011."

Council was in receipt of correspondence from Ms. Karen Kwiatkowski, General Manager, Kitchener
Housing Inc., dated November 12, 2008, regarding appointments to the Board of Directors.

"That Mr. Mike Selling and Ms. Corinne Cash be appointed to the Kitchener Housing Inc. Board
of Directors for a term ending November 30, 2011."

Council was in receipt of correspondence from Mr. Jerry Van Ooteghem, President & CEO, Kitchener-
Wilmot Hydro, dated October 24, 2008, requesting that Council consider the appointment
recommendations of the Board of Directors' Nominating Committee.

"That Council ratify the appointment of Mr. Larry Galajda and Mr. Ted Bleaney to serve for a term
of one year on the Board of Directors of Kitchener Power Corporation effective January 1, 2009."

The following Councillors were nominated to the Kitchener Power Corporation Board of Directors:
Councillors C. Weylie, B. Vrbanovic and J. Gazzola. The approved voting procedure was then utilized
which resulted in Councillors Weylie and Vrbanovic being appointed to the Board of Directors.
Council was advised that three applicants being considered for appointment have already served the
maximum six consecutive years as per Council Policy I-63 (Appointment to Boards & Committees).

"That notwithstanding the provisions of Clause 3.1 of Council Policy I-63 (Appointment to Boards
& Committees) the following appointments are confirmed; namely:

• Pat Doherty -Safe & Healthy Community Advisory Committee."

"That the 2009 appointments to boards and committees that were not specifically ratified by
resolution of Council this date are hereby ratified."
Carried.
Council was advised that with respect to Heritage Kitchener, there remains two vacancies being a
representative from the Victoria Park Heritage Conservation District and a representative from the Upper
Doon Heritage Conservation District. The Clerk was directed to contact the neighbourhood associations
within the two conservation districts in order to solicit applications from suitable persons to sit on
Heritage Kitchener. Councillor B. Vrbanovic suggested that prior to the appointments that will be made
in 2010, the Terms of Reference for the Nominating Committee be reviewed in context of the possibility
of having representatives from the K-W Community Foundation, or United Way or other similar agencies
to sit on the Committee and, that members of the Nominating Committee be allowed to sit on any
Committee other than Advisory Committees.
On motion the meeting adjourned at 5:00 p.m.

The Terms of Reference for the GRAAC (representing six participating area municipalities} states that
membership of the Committee will be: 11-15 members of the public of which 8 shall be persons with a
disability as per the Legislation; up to 2 caregivers; up to 5 lay people with an interest in disability
issues; non-voting representatives from various organizations such as school boards; and,
representatives from the participating municipalities. Anominating committee will be struck to call for
and review applications and the committee will make recommendation to the participating municipalities
ensuring that membership on the committee will continue as per the Terms of reference. The appointed
members from the public are staggered to ensure continuity and for 2008 there are up to 6 vacancies.
