SUBJECT: AUTHORIZATION FOR EXECUTION OF LICENSE
AGREEMENT WITH THE REGION WITH RESPECT TO
LANDS DESCRIBED AS PARTS 12, 13, 14, 15, 16 AND 17,
58R-16652 AND PART OF GLASGOW STREET AS
ESTABLISHED BY REGISTERED PLAN 58M-485 FOR
OVERLAND STORM FLOW PURPOSES
RECOMMENDATION:
That the Mayor and Clerk be authorized to execute a License Agreement with The Regional
Municipality of Waterloo for the use of the lands described as Part of Lot 39, German Company
Tract being Parts 12, 13, 14, 15, 16, and 17 on Reference Plan 58R-16652 and part of Glasgow
Street as established by Registered Plan 58M-485 for overland storm flow purposes; said
agreement to be to the satisfaction of the City Solicitor.
BACKGROUND:
On November 2, 2009 Council authorized the execution of a License Agreement between the
City and The INCC Corp. over Part of Lot 39, German Company Tract being Parts 12, 13, 15,
16 and 17 on Reference Plan 58R-16652 to allow The INCC Corp. to use the said property for
the purpose of a parking lot, landscaped areas, access to adjoining lands and other similar or
collateral uses in conjunction with their commercial and retail operation on adjoining lands.
The License Agreement dated December 10, 2009 was registered as Instrument Number
WR509137 on December 11, 2009.
REPORT:
The Region has now determined that it requires the use of the said Parts 12, 13, 15, 16 and 17
and Part 14 on Reference Plan 58R-16652 and part of Glasgow Street as established by

Registered Plan 58M-485 (see attached Plans) to accommodate overland storm flow from the
adjacent INCC Corp. development. The Regional storm flows will be passing over the Glasgow
Street road allowance adjacent to Parts 12, 13, 15, 16 and 17 on Reference Plan 58R-16652.
The said Glasgow Street road allowance is described as Part Lot 39, German Company Tract
being Part 14 on Reference Plan 58R-16652 and part of Glasgow Street as established by
Registered Plan 58M-485.
Section 4.1(b) of the License Agreement registered as Instrument Number WR509137 provided
that "the Property may be used only for the purposes set out in Section 1.1. hereof and such
other uses as the Licensee may request in writing and the Licensor may approve in writing
during the term hereof".
Accordingly, The INCC Corp. (the "Licensee") has requested in writing that the City consent to
the use of Part of Lot 39, German Company Tract being Parts 12, 13, 14, 15, 16 and 17 on
Reference Plan 58R-16652 and part of Glasgow Street as established by Registered Plan 58M-
485 by the Region for overland storm flow purposes. The Region would like to enter into a
license agreement with the City with respect to this proposed use on satisfactory terms to be
negotiated with the City Solicitor. The City would not be charging any fee and is prepared to
give the Region a long term license of 100 years.
FINANCIAL IMPLICATIONS:
There is no cost to the City and no revenue proposed as a result of this arrangement since The
INCC Corp. paid for the lands and associated costs to acquire the lands at the time the City took
title to the property. The Region will be responsible for any costs incurred with respect to
registration of the license agreement.
CONCLUSION:
In order to facilitate the timely development of the adjacent lands owned by The INCC Corp. and
address the overland storm flow from the adjacent lands to the Region's satisfaction, staff are
seeking Council's endorsement of this approach in anticipation of all the details being worked
out by the City Solicitor thereafter.
